What is the Companies Registry?

The Companies Registry is the registrar of companies and private business corporations in Zimbabwe. All companies must be registered, or ‘incorporated’, with the Companies Registry. Any changes to registered company details must be reported to the Companies Registry, together with any annual statutory requirements (such as annual returns and declaration of annual general meeting).

What is a PBC?

PBC stands for Private Business Corporation, and is similar to a normal business partnership, with the key difference being that the personal liability of the partners is limited. Other differences include the requirements to register with the Companies Registry, the company documents you receive and annual statutory requirements (including submission of annual returns).

What is a Company Limited by Gaurantee?

It is a type of limited company that does not have shares or shareholders; instead, it has guarantors who guarantee a fixed sum of money to the company. This business structure is primarily designed for non-profit organisations.

What types of Companyies do you register?

What is a certificate of Incorporation?

The Certificate of Incorporation is the main document that proves a company exists and has been registered under the requirements of the Companies and Other Business Entities Act (Chapter 24:31). It includes the company name and number, the date of its incorporation, whether it is limited or unlimited and where the registered office is situated.

This document is usually required by banks when opening a business bank account or when applying for a tax clearance.

What company names are acceptible?

Most names are acceptable to the Companies Registry; however, there are a few exceptions:

• The name cannot be the same or very similar to a name already being used.
• It cannot be considered offensive.
• The words ‘limited’ or ‘unlimited’ cannot be used unless at the end of the name.
• Words described as “sensitive” that require supporting evidence for their use.
